Partner Agreement

This Partner Agreement is a legally binding contract between your removal company and Smoove. By registering as a Partner and accepting this Agreement, you agree to be bound by all terms set out below, including the non-circumvention and exclusivity provisions. You must accept this Agreement before your account can be verified and activated.

This Partner Agreement ("Agreement") is entered into between Smoove("we", "us", "our", "the Platform") and the removal company accepting these terms ("Partner", "you", "your").

This Agreement supplements the general Terms of Service and sets out specific obligations that apply to Partners operating on the Smoove platform.

1. Definitions

  • "Customer" means any individual or entity who uses Smoove to request removal quotes or book removal services.
  • "Introduced Customer" means any Customer whose details you have received through the Smoove platform, including (without limitation) any Customer for whom you have viewed job details, submitted a quote, or had any contact arranged through Smoove.
  • "Platform Fee" means the fee charged by Smoove for providing matching, quoting, and payment processing services, currently set at 5% of the total job price - paid by Customers - not deducted from your quote amount.
  • "Restricted Period" means a period of twelve (12) months from the date you last provided a quote to, or had contact with, an Introduced Customer through Smoove.

2. Non-Circumvention Obligations

You acknowledge that Smoove invests significant resources in marketing, technology, and operations to attract Customers and facilitate connections between Customers and Partners. In consideration of being granted access to the Smoove platform and to Customer leads, you agree to the following non-circumvention obligations:

2.1 No Direct Dealing

You shall not, directly or indirectly, during the Restricted Period:

  • Approach, contact, solicit, or accept business from any Introduced Customer for any removal services outside of the Smoove platform, where that relationship originated on Smoove.
  • Provide removal services to any Introduced Customer except through a booking made and paid for via the Smoove platform.
  • Encourage, induce, or assist any Introduced Customer to bypass Smoove or avoid the Platform Fee.
  • Offer discounts, alternative pricing, or any other incentive to Introduced Customers on the condition that they book or pay outside of Smoove.
  • Share your direct contact details (phone number, email, website, social media, or any other means of direct contact) with Introduced Customers for the purpose of arranging services outside of Smoove.

2.2 Customer-Initiated Contact

If an Introduced Customer contacts you directly (for example, by finding your business through Google, social media, or other means) and attempts to arrange removal services outside of Smoove during the Restricted Period, you must:

  • Decline to provide services outside of the Smoove platform for that Customer.
  • Redirect the Customer back to Smoove to accept and pay for their quote through the platform.
  • Not accept payment from the Customer by any means other than through Smoove.

You are not required to refuse the job entirely — you must simply ensure that the booking and payment are processed through Smoove so that the Platform Fee is properly applied.

2.3 Reporting Obligation

If an Introduced Customer attempts to circumvent the Smoove platform by contacting you directly to avoid the Platform Fee, you are encouraged (but not legally required) to report this to Smoove at hello@smoove.to. Such reports may help us improve the platform and take appropriate action.

3. Data Protection and Customer Information

Customer data provided to you through Smoove is shared solely for the purpose of quoting for and, if your quote is accepted, performing the removal job. You agree:

  • Not to use Customer data for any purpose other than fulfilling the specific job for which it was provided.
  • Not to add Introduced Customers to marketing lists, mailing lists, or databases for future direct marketing without their explicit consent obtained independently of Smoove.
  • Not to share, sell, or disclose Customer data to any third party except as necessary to perform the removal job (e.g., to your employees or subcontractors who are bound by equivalent confidentiality obligations).
  • To comply with all applicable data protection laws, including the UK GDPR and Data Protection Act 2018.

4. Consequences of Breach

You acknowledge and agree that a breach of the non-circumvention obligations in Section 2 would cause Smoove significant harm, including loss of the Platform Fee and damage to our business model. In the event of a breach, Smoove reserves the right to:

  • Immediate suspension or termination of your Partner account without notice.
  • Withhold any pending payments due to you until the matter is resolved.
  • Recover the Platform Fee that would have been payable had the job been processed through Smoove, plus an administration fee of £150 per incident.
  • Seek damages for any additional losses suffered by Smoove as a result of the breach, including (without limitation) the loss of future Platform Fees from repeat business with that Customer.
  • Pursue legal action to enforce this Agreement and recover costs, including reasonable legal fees.

You agree that the restrictions in this Agreement are reasonable and necessary to protect Smoove's legitimate business interests, and that damages alone may not be an adequate remedy for breach, entitling Smoove to seek injunctive relief.

5. Audit Rights

Smoove reserves the right, upon reasonable notice and during normal business hours, to audit your records to verify compliance with this Agreement. This may include reviewing booking records, financial records, and communications related to Introduced Customers. You agree to cooperate in good faith with any such audit.

6. Representations and Warranties

By accepting this Agreement, you represent and warrant that:

  • You have the authority to enter into this Agreement on behalf of your removal company.
  • You hold all necessary licences, permits, and insurance required to operate a removal business in your service areas.
  • The information you have provided to Smoove is accurate and complete.
  • You will comply with all applicable laws and regulations in the performance of removal services.

7. Term and Termination

This Agreement comes into effect when you accept it and continues for as long as you have an active Partner account on Smoove. The non-circumvention obligations in Section 2 survive termination and continue to apply during the Restricted Period with respect to any Introduced Customers.

Either party may terminate this Agreement by giving 30 days' written notice. Smoove may terminate immediately if you breach any material term of this Agreement.

8. Amendments

Smoove may update this Agreement from time to time. We will notify you of any material changes at least 14 days before they take effect. Your continued use of the platform after such notice constitutes acceptance of the updated Agreement. If you do not agree to the changes, you may terminate your Partner account before the changes take effect.

9. Governing Law and Jurisdiction

This Agreement is governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising out of or in connection with this Agreement.

10. Entire Agreement

This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Smoove regarding your participation as a Partner on the platform.
